Affiliate Terms and Conditions Agreement

This Affiliate Terms and Conditions Agreement (the “Agreement”) is made and entered into by Offy Store LLC (the “Affiliate”) and You (the “Merchant”).

Definition of Terms

• “Affiliate” shall mean the individual or entity that has applied to participate in the Merchant’s affiliate program.
• “Merchant” shall mean the individual or entity that owns and operates the website or online service for which the Affiliate will promote.
• “Affiliate Program” shall mean the merchant’s program that allows affiliates to promote the merchant’s products or services in exchange for commissions on resulting sales.

Enrollment

The Affiliate shall apply to participate in the Affiliate Program by completing the merchant’s online application form. The Merchant shall have the right to accept or reject any application in its sole discretion.

Obligations of the Affiliate

The Affiliate agrees to:

• Promote the Merchant’s products or services in a manner that is in compliance with all laws and regulations.
• Comply with the Merchant’s guidelines and policies as they may be modified from time to time.
• Abide by any code of conduct or other notice provided by the Merchant.
• Provide accurate information in the Affiliate’s application and keep that information up to date.
• Merchant standard terms and conditions.

Obligations of the Merchant

The Merchant agrees to:

• Provide the Affiliate with marketing materials, including banners, text links, and other promotional content.
• Track sales generated through the Affiliate’s promotions and provide the Affiliate with access to this information.
• Pay the Affiliate commissions in accordance with the terms outlined in section “Commission and Payment”.

Commission and Payment

The Affiliate shall earn a commission on sales generated through their promotions. The commission rate shall be $20 for each customer referral that is approved by our team and completes the process of opening a business credit account through purchasing a business membership fee. Commissions will be paid each month.

Minimum Commission

The Merchant will not pay commissions to the Affiliate if the total commission earned during a payment period is less than $100. If the total commission earned during a payment period is less than $100, the commission will be carried forward and added to the next payment period until the minimum commission of $100 is reached.

Payment Request

The Affiliate may request a commission payment at any time by sending an email to info@offystore.com with the subject line “Commission Payment Request.” The Merchant will process the payment within 7 days of receiving the request if the minimum commission condition is met. The Affiliate is responsible for providing accurate payment information to the Merchant including SSN number or Tax ID number for 1099 form.

Pay-Per-Click Advertising

The Affiliate shall not engage in any pay-per-click advertising using the Merchant’s name, trademarks, or any variations or misspellings thereof, without the prior written consent of the Merchant. Any pay-per-click advertising that is not in compliance with this policy may result in the immediate termination of this Agreement and forfeiture of any commissions earned by the Affiliate.

Term and Termination

This Agreement shall be effective upon acceptance of the Affiliate’s application and shall continue until terminated by either party. Either party may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination.

Representations and Warranties

The Affiliate represents and warrants that:

• They have the full power and authority to enter into this Agreement.
• They will comply with all laws and regulations in their promotion of the Merchant’s products or services.
• Any information provided to the Merchant is accurate and complete.

Limitation of Liability

In no event shall either party be liable to the other party for any special, consequential, or incidental damages, including but not limited to loss of profits or revenue, loss of use, or loss of data.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Texas.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether oral or written.
